01Introduction

These Terms of Service ("Terms") govern your use of the Carebud platform, website, and services (the "Services").

By accessing or using Carebud, you agree to be legally bound by these Terms.

If you do not agree, you must not use the Services.

02About Carebud

Carebud is an Intelligent Digital Social Care Record (DSCR) platform designed to support care providers regulated by:

CQC
Ofsted

Carebud provides tools for:

  • Digital care documentation
  • Compliance support
  • Workflow automation
  • Workforce management features
  • AI-assisted documentation summaries

Carebud is a software provider and does not provide medical, nursing, or legal advice.

03Eligibility

To use Carebud, you must:

  • 1
    Be at least 18 years old
  • 2
    Be authorised to act on behalf of a registered care provider (if applicable)
  • 3
    Ensure your use complies with UK law and regulatory requirements

04Account Registration

To access certain features, you must create an account.

You agree to:

  • Provide accurate information
  • Keep login credentials secure
  • Notify us immediately of unauthorised access

Carebud is not liable for losses resulting from unauthorised access due to your failure to secure credentials.

05Use of the Platform

You agree not to:

  • Use the platform unlawfully
  • Upload harmful or malicious content
  • Attempt to reverse engineer or copy the software
  • Circumvent security measures
  • Use AI features to generate false or misleading care records

Your Responsibility

You are solely responsible for verifying and approving all care documentation before submission or regulatory inspection.

06AI-Assisted Features

Carebud may provide AI-generated summaries or documentation suggestions.

You acknowledge that:

  • AI outputs are assistive tools only
  • You remain responsible for reviewing, editing, and approving records
  • Carebud does not guarantee the accuracy of AI-generated content
  • AI features are designed to support compliance but do not replace professional judgment

07Data Protection & Confidentiality

Carebud processes personal data in accordance with:

  • UK GDPR
  • Data Protection Act 2018
  • Privacy and Electronic Communications Regulations (PECR)

Carebud acts as a Data Processor where you are the Data Controller.

A separate Data Processing Agreement (DPA) governs data handling.

Carebud implements appropriate technical and organisational security measures.

08Regulatory Compliance

While Carebud is designed to support compliance with:

  • CQC Single Assessment Framework
  • Ofsted Quality Standards

We do not guarantee inspection outcomes.

Compliance remains the responsibility of the care provider.

09Fees & Payment

If you subscribe to a paid plan:

  • Fees will be set out in your subscription agreement
  • Payments are due in advance
  • Late payments may result in service suspension

All fees are exclusive of VAT unless stated otherwise.

10Intellectual Property

All intellectual property in the Carebud platform, including:

Software
Branding
Documentation
AI models
Design elements

All intellectual property remains the property of Carebud Ltd.

You are granted a limited, non-exclusive, non-transferable licence to use the Services.

11Service Availability

We aim for high availability but do not guarantee uninterrupted service.

We may:

  • Perform maintenance
  • Update features
  • Modify functionality

We will provide reasonable notice where possible.

12Limitation of Liability

To the fullest extent permitted by law:

  • Carebud is not liable for indirect or consequential loss
  • Our total liability is limited to the fees paid in the preceding 12 months

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud
  • Any liability that cannot legally be excluded

13Termination

We may suspend or terminate your access if you:

  • Breach these Terms
  • Misuse the platform
  • Fail to pay fees

You may terminate your subscription in accordance with your agreement.

Upon termination:

  • Access will cease
  • Data export options will be provided in line with your contract

14Confidentiality

Both parties agree to keep confidential information secure and not disclose it except as required by law.

15Changes to Terms

We may update these Terms periodically.

Updated Terms will be posted on our website with a revised "Last Updated" date.

Continued use constitutes acceptance of the updated Terms.

16Governing Law

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
